Wns Service Agreement

Without limiting any other rights or remedies available to WNS Global Services under these Terms of Use or otherwise, WNS Global Services may restrict, suspend or terminate WNS Global Services related services, restrict or prohibit access to the WNS Global Services Websites, modify or remove the content of the WNS Global Services Websites, including, but not limited to, the elimination or interruption of the Content, or the Features contained therein, including, but not limited to, the elimination or interruption of any content or functionality thereof, or the limitation of the hours of operation of the WNS Global Services websites. Under the terms of the agreement, WNS Aviva will provide a full range of life and general insurance settlement functions, including policy management and settlement, as well as finance and accounting, customer service and other support services. WNS Global Services does not claim ownership of any materials that you provide to WNS Global Services (including comments and suggestions) or that you post, upload, enter or transmit to any WNS Global Services website or related services (collectively, the “Submissions”). However, by posting, uploading, entering, making available or submitting your Submission, you authorize WNS Global Services, its affiliates and required sublicensees to use your Submission in connection with the operation of their Internet business, including, but not limited to, the rights to: copy, distribute, transmit, publicly display, perform, reproduce, edit, translate and reformat your Contribution; and to publish your name as part of your submission. [4] On or about February 15, 2018, the Applicant served the Respondent with a letter of claim requesting, among other things, various written commitments from the Respondent regarding compliance with the trade restriction provisions. Accenture is the applicant`s competitor and, by taking a job at Accenture, the respondent is in breach of the trade restriction provisions of the agreement. Between February 21, 2018 and March 13, 2018, an exchange of correspondence took place between the parties to negotiate the settlement of this dispute. [24] In support of the above allegation, the Respondent seeks to distinguish between the Applicant and Accenture throughout its affidavit. Essentially, the respondent submits that the applicant`s business is focused on outsourcing services, while Accenture focuses on consulting services.

[40] M. Maughan further alleges that the respondent had access to ongoing opt-out transactions negotiated with potential customers, in which the applicant would take over all or part of a customer`s business and provide services either at cost or solely on a production basis; Customers` unique solution to use their service called “Process Discovery”. This is a process that is not currently carried out by any of the applicant`s competitors, including Accenture South Africa. It is alleged that the defendant has in-depth knowledge of that unique process and position vis-à-vis the applicant`s customers. The respondent argued in its response statement that the process is an analysis of customer activity to determine what can be outsourced to reduce costs or improve the process. He also claimed that he had not been involved in any carve-out agreement. The WNS Global Services website is offered to you upon unconditional acceptance thereof without modification of the terms, conditions and notices contained herein. Your use of the WNS Global Services website constitutes your unconditional and irrevocable acceptance of all of these terms and notices. Pursuant to the share purchase agreement with Aviva, WNS today acquired all of the shares of Aviva Global Services (“AGS”), its business process relocation company.

Since 2004, WNS has been providing BPO services to Aviva under Build-Operate-Transfer (BOT) contracts from facilities in Pune, India and Colombo, Sri Lanka. With this acquisition, WNS will take over the operation of AGS with more than 5800 seats as follows: Under the framework services agreement, which spans eight years and four months, WNS will be the long-term strategic BPO service provider for Aviva`s UK and Canadian operations. Other providers are limited to the number and duration depending on existing contracts. As part of the MSA, WNS also benefits from a recently signed AGS contract for approximately 580 employees with Hibernian, Aviva`s Irish subsidiary. Based on the expected service needs of these companies, as provided by Aviva, WNS estimates that the Framework Services Agreement could generate approximately $1 billion in revenue over the term of the contract. WNS Global Services reserves the right to change the terms, conditions and notices under which the WNS Global Services website is offered, including, but not limited to, fees associated with the use of the WNS Global Services website. WNS Global Services may, in its sole discretion (without being responsible in any way and/or be asked to justify it), modify these Terms of Use at any time by updating this page. Changes to these Terms of Use will also be binding on you. You agree that your continued use of the WNS Global Services websites or WNS Global Services services constitutes your acceptance of such changes to these Terms of Use.
